i have tried Folder2ISO which is a FREE software, it only handles Folders... i tried it using the whole FOLDER with CD ontents inside but doesn't seem to boot...
i wanna create an ISO of the files and folders within the CD FOLDER... Folder2ISO only handles folders :(

If it's a direct copy from a Windows CD, use nLite. You should be able to point it at the folder, even add service packs and stuff if you want, then create a bootable ISO at the end.
If you copy all the stuff into a folder, then make an ISO out of it, the CD will not work to install Windows.

But nLite just copies the CD into a folder anyway. It gives you the option to create a bootable CD.
It creates a custom boot sector out of the contents of the source CD. There's much at work behind the scenes with nLite to make that disc bootable. It has to comply with the El Torito boot CD spec, etc.

What you need is a boot image for the disc. It's a small file (2k) and can be obtained from your legal XP boot disc or (sometimes) from the "recovery discs" if your computer came with it. Use this tool (http://www.nu2.nu/bbie/) to extract it.
