Memory and CPU question

Okay a family friend of mine just bought a stick of 512 megs of ram for his computer and a 1.33ghz AMD Athlon processor. Right now he has a compaq and I was looking online and a website said that his mobo can only handle like 368 megs of ram, or something to that extent, I was wondering if he put in the 512 stick if it would recognize it and only use 368 megs of it or it would not recognize it at all. Also the same goes for teh CPU, what if it can only be upgraded to say a 1ghz processor, will the mobo still recognize it and use only what it can?
