Both the mobo and Cpu and 2nd generation designs (K8T800 "Pro" & "CG" stepping)
I Sold my P4 to Citrixmeta and the dough was burning a hole in my pocket, but the kicker was S939 CPUs are ridiculously expensive (2.2ghz 512K S939 = 3500+ for $400 my @$$). And a 2.4ghz S754 should outperform a 2.2ghz S939 in most cases. (I believe) Thats why it's almost impossible to find a direct comparison of same clock speed S754 vs S939.
When you are going to overclock, test what one stick does compared to both. I think you will see a very noticeable difference in max memory speed. I think there is a bios that allows for 3.2vdimm for that board
This is at Multi 5 and memory frequency at 200. Look at the HTT!!!

The passive NB looks like it should do the job. Less noise too.
The A64 3400+ (2.4ghz 512K) is noticably faster than my XP-M @ 2.4ghz. Win XP installed lickety split. Got to get some benches up later.
