nf7-s IRQ& I/O problems W2K

hi,
i have recently put together a new system
i have
amd mobile barton 2400
abit nf7-s v2.0 bios 6.00
windows 2000 profesional SP1
i am having two problems...one with gfx and with modem.
MODEM
i have sm56pci speakerphone fax modem(internal)
the modem guide says that it should be installed on COM ports 2,3,4...
currently only COM ports 1 and 2 are installed.
to intall a new port, whan i install a new port .i.e com port 4...i enter the resources that the modem guide specifies....i.e I/O and IRQ......but after i restart the system after installilng the new port....the windows does not keep the resources settings that i assgined before......when i right click
properties-resources- on the device manager,,,, under the resources tab this is written"" this device is using no resources bcoz it has a problem...correct the irq settings."""
when i installed the port i made sure no conflicts were ther.....so
there are no conflicts...but stilll windows doesn't keep the settings that i assighned....
anybody know what to do in this condition??

i have an ancient pci gfx card...trident 9685tv..
when i installed it...under the device manager when i click its properties and resources......it says that it is conflicting with something...that something is motherboard related drivers...
so....the resources that the gfx card requires by default are already used by some motherboard devices......and there is no option of changing resources in the gfx properties.......what should i do???
finally
should i use winxp ...will that solve such problem???
