just run my newly built rig and i notice that the cpu fan is noisy than normal.. i just compared it with my other desktop.. same cpu and also usin a stock fan.. intel p4 2.8 w/ HT its for 775 mobo.. is it ok or something wrong with the fan? thanks!

The other solution is to purchase a new HSF to replace the stock one that you do have.
As only a suggestion...This heatsink is very quiet and looks cool too. It works quite well and you can have manual control over the fan speed or, if your motherboard supports it in BIOS...automatic control.
you will need the s478--->lga775 retention bracket too. don't forget ArticSilver5.
