Error Loading OS?

My PC just started giving me this messge: "Error Loading OS" at bootup. Everything was fine, now nothing. Ive reset the BIOS and set all settings to default, nothing! I recently swapped my RAM from 1Gb OCZ Dual Channel Premiere PC3200 400MHZ to 1Gb OCZ Dual Channel Performance PC3500 433MHz. Everything was good for 2 days, now nothing. I am running:

GA-K8NS Ultra 939 (NF3 Ultra vF5) 3Wks old
AMD Athlon64 3200+ Winchester 939 3Wks old
1Gb OCZ Performance Series PC3500 (2 x 512) Brand new
Enermax NoiseTaker 420W PS 6Mos old
2 x Maxtor 120GB SATA HDDs no raid configuration
Windows XP Pro x32 on Drive 1 C: (1st Partition)
Windows XP Pro x64 on Drive 1 D: (2nd Partition)
Drive 2 E: Games
Drive 2 F: Extra Storage

At this point I cant boot to upgrade the BIOS (I read someplace that this may help this error). Any suggestions would be wonderful. nothing on the HDDs is irreplacable, just the hassel of the operation especially if I dont need to.
