Restarting rather than shutting down

This crazy pc decided that all of a sudden it would start acting foolish. Here is a short list of internal organs this monster has driving it. Asus A7N8X-deluxe mobo, AMD XP 2100+, 1.25GB ram, 30GB Maxtor HDD, DVD rom drive and a DVD burner. Not really a whole lot going on there. So anyway I have recently installed Norton Internet Security 2005 w/ Password Manager and switched from the DSL to a crappy p.o.s. cable modem. Well here is the problem whenever I shut it down it goes through the motions of a restart. It will do this all night unless you switch off the power supply and just kill it. The Norton and the 50 yr old modem may just be coincidence, but I figure I would share that info. Also I checked the W.O.L to see if that was set to the on postion and if in the BIOS the restart after power loss was enabled but NO. Neither of these. I checked event viewer and seen this message "The Remote Access Auto Connection Manager service was successfully sent a start control." So I tried shutting that down and no luck. Help!!!! What else can I do? :bawling:
