Processors: keep one; sell one but which one?

I am about ready to sell another one of my builds. (just recently sold one to DogDragon; THX DD!) But, here is my situation and I could use some opinions: The system I want to sell currently has a Pentium 4 2.8C running stock; in another system, I have a Pentium 4 2.4C 'slightly overclocked' to 2.885 Ghz with more headroom available (it is the SL6WF). I have no idea what the overclocking potential is of the 2.8C, never tried. Since they are both socket 478's, they are interchangeable. Which processor would you sell and which one would you keep and why? If it helps any, here are the current specs of the 2.8C system that I would let go:

-Asus P4P800SE mobo
-2.8C P4 w 800 fsb OR 2.4C P4 w 800 fsb
-single 80 gig WD SE80 HD
-GeForce 6800 vanilla 128 mb
-350 w PS
-1 gig Corsair PC3200 XMS ddr
-FD, Iomega 250 zip, Lite-On CDRW, LG DVD-ROM
-WinXP Home

Thx for ideas. Reason for moving one out: just built wifey monster E6600 C2D system.
