Replacing Domain Controllers

I've got Win2k running on a really old box maxed out at 256ram with a 40gb hard drive running as a domain controller... I realize that I could increase the hard drive but I think i'd like to just throw some parts together that i have laying around and build a newer domain controller.
I'm a little unsure of how to perform the switching out of the old DC and switch in of the new one without causing problems.
1. Install Win2k on new DC and configure DNS and DHCP
2. Demote old DC
3. Run dcpromo
Is that it and in the right order??? Will this not cause any problems for the client computers?
