I did a google search and found out that a lot of people have problems with it as well.
In short, it hogs the internet connection.

I have found out that it is some sort of wireless protocol and it is downloading substantial amounts of data from the net.
How can I terminate it?
And will it have any side effects?

No, I am using Opera 7.22 normally, but have used IE6 on a backup dialup from time to time. the Comcast connect has been using Opera, though. It DOES masq well, doesn't it!!!
Current mailer is thunderbird .3, no x-mailer in use, postfix in use.
Howsoever, the following also work:
IE 6.0 within Win4Lin 5.0 within Linux Mandrake 8.2, 9.0, 9.1, 9.2, and SuSE 9.0. Please do not assume base O\S platform and browser your stats report is right much less mutually impossible.
And, I DO have a sometimes-Windows box on dialup which has been known to surf while the Linux box is fetching things from Microsoft or SUNET or Redbox.cz or Germany or France. IT has a completely different IPv4 designation.
I also surf from time to time with Mozilla, have used versions from pre 1.0 to and including 1.5.
I actually could use FreeBSD 5+ if wanted also, to surf, but am using that mostly to study BSD right now.
And, my IP floats from time to time on both dialup and Comcast, and I think it might be time for a dyn-IP change.

Remember I cannot see what other users see on the sign.
I think I will remove it soon, I need something new.

I did like this:
Try going into services and disabling anything for wireless.
If you have a gateway that CAN do wireless, one of two things:
First, see if wireless can be disabled on gateway, or set up a 128-bit encryption key adn exclude all traffic outside your defined IP set, whihc should allow for only as many boxes as you have.
Second, if really wanting to disable wireless, take the antennaes off if your manual tells how.
This is why I will be running a hardwired gateway, WEP can also be compromised.

Just wanted to clarify things.
It was using my internet connection through my ethernet adapter.
OTOH, if you have a wireless switch, relay, broadband gateway (like an ADSL\Cable\DSL gateway that CAN accept wireless connects even if YOU are not using them), someone else can use your hookup as the presence of a non-secure wireless device in a mini-lan can leave you with an opening to your box on the LAN via INCOMING wireless. You say no use of wireless, does this mean nothing at HOME CAN use wireless at all, or that you are not using it now but something can use it???

I have nothing wireless at all.
Explains why my floor looks like a snakepit.
It seems that this ndisuio.sys is doing the same on onther XP installs.
I have seen other prople with the same issues.
Here is an image of a setup identical to mine.
The Ethernet adapter is connected directly to the DSL "modem".
