I have the same MB that you do and I really like it. One thing I'd mention is that, while the board is great, the add-on programs from MSI leave something to be desired. I'd recommend getting rid of all of them.
The worst culprit is the "Cool 'n Quiet" business. Theoretically it will crank your CPU down to a slower speed (the "cool" part), thus allowing it to drop the rpm of the fans (the "quiet part). In real-world use all it does is cause your system to oscillate wildly from fast to slow, creating a huge amount of problems. When I first built this system I was shaking my head and wondering if I had a dud on my hands. Once I disabled the C&Q junk it took off like a rocket.
Should i uninstall LiveUpdate, Core Center and Digicell from MSI ?

Current System Temperature 15ºC/59ºF
Current CPU Temperature 46ºC/114ºF
It takes about one minute for each 10MB of RAM you have. Once you see the "pass" number click over to "1" it means it's gone all the way through.
I have 1024 MB of Ram = 2 modules of 512MB.
If it takes one minute for each 10 MBRam i think it would take 102,4 minutes that is 1h and 42,4 minutes.
The test is still going after 11 hours!

Finally, are you overclocking at all? If so, run Memtest-86 again at stock speed.

Overclocking?How? I dont think so...im gonna remove one of the ram and take the test again. I just remove the stick of ram and when i want to put it again there will be no problem ?
Overclocking is when you run your computer faster than its rated speed.
As for the RAM, the errors mean that at least one stick is bad. You need to find out which one is the culprit. (It could be both...)
As far as i know i have not done any overclocking. My doubt is if i can disconnect ram and then put it again in my motherboard without needing to make changes is BIOS. I just take it off the mother board and after the tests put it again ? Do i need to change anything in bios?
I went to bios and i saw that Dynamic Overcloking was enabled.I disabled it. Dynamic Overcloking is an option thats comes with MSI k8n Neo2.
I was reading the manual of my motherboard and it says "If u find the PC appears to be unstable or reboot incidentally, its better to disable Dynamic OVerclocking..."
Should i try to see if it resolves the problem ? Or should i make memtest anyway ?
When you remove one stick you may get a notice during boot that memory size has changed. Just tell it to keep going.

Sure, why not try running the computer with both sticks of RAM and with Dynamic Overclocking turned off. If your system is stable, you are fortunate that your RAM's flaw is not causing problems. If you turn off Dynamic Overclocking and the same problems persist, then you need to continue Memtest and determine which stick(s) of RAM is bad. The point being here is that you might get lucky and be able to run your system well, even if bad RAM. It's highly unlikely, but it is possible.

3 Days & No Crashes or freezing!!!I hope my problems gone!!!Ill confirm it.
OK, I read the troubleshooting suggestions, but am not quite clear on the final diagnosis and fix? Exactly what caused the problem(s), and what effected the fix?

There were an option in Bios about Automatic Overclocking and it was making my computer instable (blue screens, crashes, freezing) and when i disabled that option those blue screens and freezing disappeared.

OH, OK. I've now had experience with software overclocking with Asus and MSI. Both are OK, if one is not willing to learn the details (BIOS overclocking), but both caused problems too if the overclock was high or if some settings in the BIOS weren't set to compliment the software.
